Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "Customer") and MindGryd Software Private Limited, a company incorporated under the laws of India, with its registered office in India ("MindGryd," "we," "us," or "our"), governing your access to and use of the Areev platform, including the Areev cloud service, self-hosted software, APIs, documentation, and all related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree, do not access or use the Service.

1. Definitions

  • "Areev" means the AI agent memory database platform developed and operated by MindGryd, including all cloud-hosted and self-hosted deployments.
  • "Content" means any data, text, information, memory grains, embeddings, or other materials submitted to or generated through the Service.
  • "Credits" means the usage units used to meter Service consumption under the cloud pricing model.
  • "Memory Grains" means structured data units stored in the Areev database in the Open Memory Specification (.mg) format.
  • "API" means the application programming interfaces provided by MindGryd for programmatic access to the Service, including HTTP REST, gRPC, MCP, and A2A protocols.

2. Eligibility

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement and that the information you provide is accurate, current, and complete.

3. Alpha/Beta and Early Access Disclaimer

The Service, or portions thereof, may be designated as alpha, beta, early access, preview, or similarly labelled. Such designations indicate that the Service or feature is under active development, may contain bugs, errors, or incomplete functionality, and is subject to change or discontinuation without notice. By using any alpha, beta, or early access version of the Service:

  • You acknowledge that it is provided for evaluation and testing purposes and may not be suitable for production use;
  • You accept that data stored during alpha or beta periods may be lost, corrupted, or deleted during upgrades, migrations, or Service changes;
  • You waive any claims arising from the instability, unavailability, or data loss associated with pre-release versions of the Service;
  • MindGryd makes no commitments regarding the timeline, availability, or feature set of any future general-availability release.

4. Account Registration and Security

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, complete, and current registration information;
  • Maintain the confidentiality of your account credentials, API keys, and access tokens;
  • Accept responsibility for all activities that occur under your account;
  • Notify us immediately of any unauthorized access or use of your account.

MindGryd reserves the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for unauthorized purposes.

5. License and Use Rights

5.1 Cloud Service

Subject to these Terms, MindGryd grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Areev cloud service during the subscription term, solely for your internal business purposes.

5.2 Self-Hosted Software

If you purchase a self-hosted license, MindGryd grants you a limited, non-exclusive, non-transferable license to install and operate the Areev software on your own infrastructure, subject to the terms of your license agreement, including node limits and deployment profile restrictions. The software is licensed under the Business Source Use License (BUSL-1.1) or such other license as specified in your agreement.

5.3 API Usage

You may access the Service programmatically through our APIs subject to applicable rate limits, usage quotas, and the API documentation. You shall not circumvent any rate limits, authentication mechanisms, or access controls.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights;
  • Store, transmit, or process content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable;
  • Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks;
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except as expressly permitted by applicable law;
  • Interfere with or disrupt the integrity or performance of the Service or related infrastructure;
  • Use the Service to build a competing product or service, or to benchmark the Service for competitive purposes without prior written consent;
  • Resell, sublicense, or redistribute the Service or access thereto without prior written authorization;
  • Circumvent, disable, or tamper with any security, encryption, compliance, or audit features of the Service;
  • Use automated means to scrape, harvest, or extract data from the Service beyond authorized API usage;
  • Store data in violation of applicable data protection regulations, including without limitation GDPR, HIPAA, CCPA, or other relevant frameworks.

7. Your Content and Data

7.1 Ownership

You retain all rights, title, and interest in and to your Content. MindGryd does not claim ownership of any Content you submit to the Service.

7.2 License to MindGryd

By submitting Content to the Service, you grant MindGryd a limited, non-exclusive license to process, store, retrieve, index, and display your Content as necessary to provide, operate, and maintain the Service, and to exercise MindGryd's rights under these Terms (including responding to legal process or defending against claims). MindGryd may use aggregated, anonymized data that cannot reasonably be used to identify you or any individual to improve the Service. This license terminates when you delete your Content or close your account, subject to our data retention obligations and any legal hold requirements.

7.3 Content Responsibility

You are solely responsible for the accuracy, legality, and appropriateness of all Content you submit. MindGryd does not monitor, review, or endorse Content and shall have no liability arising from your Content.

7.4 Data Processing

To the extent that your Content includes personal data, MindGryd processes such data as a data processor on your behalf, subject to our Data Processing Agreement and Privacy Policy.

8. Pricing, Billing, and Payment

8.1 Subscription Plans

The Service is offered under tiered pricing plans (Free, Scale, and Custom). Current pricing, features, and credit allocations are published on our pricing page. MindGryd reserves the right to modify pricing at any time. We will provide at least thirty (30) days' prior notice of material pricing changes where practicable, effective at the start of the next billing cycle. In cases of regulatory changes, third-party cost increases, or other circumstances beyond MindGryd's reasonable control, pricing changes may take effect with shorter notice.

8.2 Credits

Service usage is metered in credits. Credit conversion rates are as published on our pricing page. Plan credits reset at the end of each billing cycle and do not carry forward. Purchased credit packs are valid for one (1) year from the date of purchase.

8.3 Payment

You agree to pay all fees associated with your selected plan. Payments are processed through our third-party payment providers. All prices are exclusive of applicable taxes (including GST, VAT, and sales tax), which will be charged where required by law.

8.4 Payment Failure

If a payment fails, we will attempt to charge your payment method up to four (4) times over seven (7) days. If all attempts fail, your account will be downgraded to the Free tier. You may reactivate by updating your payment method within thirty (30) days.

9. Refund and Cancellation Policy

9.1 Subscription Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing cycle. No pro-rated refunds are provided for partial billing periods.

9.2 Annual Subscriptions

Annual subscriptions are billed for the full annual term. Remaining months on an annual subscription are not refundable. You retain access to the Service and your credits until the annual period expires.

9.3 Credit Packs

Purchased credit packs are non-refundable. Exception: accidental purchases may be refunded if a support request is submitted within forty-eight (48) hours of purchase.

9.4 Self-Hosted Licenses

Self-hosted licenses are governed by the terms of your license agreement. Self-hosted contracts are typically annual commitments with no early termination refund. A ninety (90) day written notice is required for non-renewal. Upon termination, the license key expires per contract terms, and a seven (7) day read-only grace period applies for data export.

9.5 Chargebacks

Disputed charges will be investigated within five (5) business days. Your account may be suspended during the investigation. If a chargeback is upheld, your account will be downgraded to the Free tier.

9.6 Downgrade Effects

Upon downgrade from a paid plan to Free: (a) data exceeding the Free tier storage limit becomes read-only; (b) existing data is retained for thirty (30) days, after which data exceeding the Free tier limit may be permanently deleted; (c) team seats are reduced to one; (d) gated features are disabled immediately; (e) unused credit packs are suspended and reactivated upon re-upgrade (if before expiry).

10. Service Availability and Modifications

10.1 Availability

MindGryd will use commercially reasonable efforts to maintain Service availability, but does not guarantee uninterrupted or error-free operation. The Service is provided on an "as is" and "as available" basis.

10.2 Modifications

MindGryd reserves the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to provide advance notice of material changes. MindGryd shall not be liable for any modification, suspension, or discontinuation of the Service.

10.3 No Service Level Agreement

Unless expressly set forth in a separate, written Service Level Agreement executed by MindGryd, the Service is provided without any uptime commitment, availability guarantee, or performance warranty. MindGryd shall have no liability for Service downtime, degradation, or unavailability, whether scheduled or unscheduled. Any uptime statistics or targets mentioned in marketing materials, documentation, or communications are aspirational only and do not create binding commitments.

10.4 Free Tier

The Free tier is provided at MindGryd's sole discretion, without charge and without any obligation. MindGryd may modify, limit, or discontinue the Free tier at any time, for any reason, without prior notice and without liability. Free tier users acknowledge that: (a) the Free tier may have reduced availability, performance, or support compared to paid plans; (b) MindGryd may impose additional restrictions on Free tier usage at any time; (c) data stored on the Free tier may be subject to more aggressive retention limits; and (d) MindGryd's obligations under these Terms are reduced to the maximum extent permitted by law for services provided without charge.

10.5 Maintenance

Scheduled maintenance windows will be communicated in advance where practicable. Emergency maintenance may be performed without prior notice to address security vulnerabilities or critical issues.

11. Intellectual Property

11.1 MindGryd IP

The Service, including all software, algorithms, designs, documentation, trademarks, trade names (including "Areev," "MindGryd," and the Areev logo), and all intellectual property embodied therein, are and remain the exclusive property of MindGryd Software Private Limited. Nothing in these Terms transfers any IP rights to you except the limited license expressly granted herein.

11.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant MindGryd an irrevocable, perpetual, worldwide, royalty-free license to use, modify, and incorporate such feedback without obligation or compensation to you.

11.3 Open Memory Specification

The Open Memory Specification (.mg format) is a public specification. Areev is the reference implementation. Use of the specification itself is governed by its own license terms, separate from these Terms.

12. Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to third parties, except as required by law or as necessary to perform obligations under these Terms. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.

13. Data Protection and Compliance

13.1 Compliance Features

The Service includes built-in compliance features for GDPR, HIPAA, CCPA, EU AI Act, SOC 2, and other regulatory frameworks. These features are tools to assist your compliance efforts. You are solely responsible for determining whether the Service meets your regulatory requirements and for configuring the Service appropriately for your compliance needs.

13.2 No Legal Advice

MindGryd does not provide legal, regulatory, or compliance advice. The inclusion of compliance features in the Service does not constitute a guarantee of regulatory compliance. You should consult with your own legal counsel regarding your compliance obligations.

13.3 Data Processing Agreement

The processing of personal data through the Service is governed by the Data Processing Agreement, which forms part of these Terms.

13.4 Encryption and Security

The Service employs encryption at rest (AES-256-GCM) and in transit. Security configurations, including encryption key management and compliance policy presets, are subject to your deployment configuration. MindGryd is not responsible for security issues arising from your misconfiguration of the Service.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. MINDGRYD EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE SERVICE, CONTENT, OR RESULTS;
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
  • WARRANTIES REGARDING THE RESULTS OBTAINED FROM THE USE OF THE SERVICE, INCLUDING THE ACCURACY OR RELIABILITY OF ANY MEMORY RETRIEVAL, AI AGENT OUTPUTS, OR SEARCH RESULTS;
  • WARRANTIES THAT THE SERVICE WILL MEET YOUR SPECIFIC REGULATORY OR COMPLIANCE REQUIREMENTS.

YOU ACKNOWLEDGE THAT THE SERVICE INVOLVES AI AND MACHINE LEARNING TECHNOLOGIES, WHICH ARE INHERENTLY PROBABILISTIC AND MAY PRODUCE INACCURATE, INCOMPLETE, OR UNEXPECTED RESULTS. MINDGRYD DOES NOT WARRANT THE ACCURACY OR SUITABILITY OF ANY AI-GENERATED OUTPUTS.

YOU FURTHER ACKNOWLEDGE AND ACCEPT THAT: (A) DATA LOSS, CORRUPTION, OR UNAVAILABILITY MAY OCCUR DUE TO SOFTWARE DEFECTS, INFRASTRUCTURE FAILURES, UPGRADES, MIGRATIONS, OR OTHER CAUSES, WHETHER WITHIN OR OUTSIDE MINDGRYD'S CONTROL; (B) YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING INDEPENDENT BACKUPS OF YOUR CONTENT; AND (C) MINDGRYD SHALL HAVE NO LIABILITY FOR ANY DATA LOSS, REGARDLESS OF CAUSE, EXCEPT TO THE EXTENT OF THE LIABILITY CAP SET FORTH IN SECTION 15.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • IN NO EVENT SHALL MINDGRYD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF MINDGRYD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • MINDGRYD'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO MINDGRYD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100 USD).
  • THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

16. Indemnification

You agree to indemnify, defend, and hold harmless MindGryd Software Private Limited, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service or violation of these Terms;
  • Your Content, including any claim that your Content infringes or misappropriates any third-party rights;
  • Your violation of any applicable law or regulation;
  • Your misconfiguration of compliance, security, or encryption settings within the Service;
  • Any third-party claims arising from your AI agents' use of data stored in or retrieved from the Service;
  • Any unauthorized access to the Service resulting from your failure to maintain the security of your credentials;
  • Any regulatory fines, penalties, enforcement actions, or investigations arising from your use of the Service, your Content, or your failure to comply with applicable laws;
  • Any claims by your end users, customers, or data subjects arising from your use of the Service as a data processor or controller.

17. Termination

17.1 By You

You may terminate your account at any time by following the account closure process. Upon termination, your right to use the Service ceases immediately, subject to any remaining paid subscription period.

17.2 By MindGryd (For Cause)

MindGryd may suspend or terminate your access to the Service immediately, without prior notice or liability, if: (a) you breach these Terms; (b) you fail to pay applicable fees; (c) we are required to do so by law; (d) your use poses a security risk to the Service or other users; or (e) your account has been inactive for an extended period.

17.3 By MindGryd (For Convenience)

MindGryd may terminate your account for any reason or no reason upon thirty (30) days' prior written notice. In such case, MindGryd will provide a pro-rated refund of any prepaid, unused subscription fees for the remaining period after the effective date of termination. This Section does not apply to Free tier accounts, which may be terminated at any time without notice.

17.4 Effect of Termination

Upon termination: (a) all licenses granted herein terminate; (b) you must cease all use of the Service; (c) you remain liable for all fees incurred prior to termination; (d) provisions that by their nature should survive termination shall survive, including Sections 3, 7.1, 11, 14, 15, 16, 18, and 19.

17.5 Data Retrieval

Upon termination, you may request export of your Content for a period of thirty (30) days (cloud) or seven (7) days (self-hosted, read-only grace period). After this period, MindGryd may permanently delete your Content without further notice.

18. Dispute Resolution and Governing Law

18.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

18.2 Jurisdiction

Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.

18.3 Arbitration

At MindGryd's sole discretion, disputes may be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996 (India), conducted in Chennai, Tamil Nadu, India. The language of arbitration shall be English.

18.4 Waiver of Class Actions

To the maximum extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

19. General Provisions

19.1 Modification of Terms

MindGryd reserves the right to modify these Terms at any time by posting the revised Terms on our website and updating the "Last updated" date. Material changes will be communicated via email or through the Service where practicable. Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.

19.2 Entire Agreement

These Terms, together with the Privacy Policy, the Data Processing Agreement, and any order forms or license agreements, constitute the entire agreement between you and MindGryd with respect to the Service.

19.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19.4 Waiver

The failure of MindGryd to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

19.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. MindGryd may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

19.6 Force Majeure

MindGryd shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, government actions, power failures, internet disruptions, or third-party service outages.

MindGryd may provide notices to you via email to the address associated with your account or through the Service. You may provide notices to MindGryd at the contact information below.

19.8 Export Compliance

You agree to comply with all applicable export and import laws and regulations. You shall not use the Service in any country subject to comprehensive sanctions or in violation of any applicable export control laws.

19.9 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.

19.10 Relationship of Parties

Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and MindGryd.

19.11 Waiver of Jury Trial

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY IRREVOCABLY WAIVES ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

19.12 Cumulative Remedies

All rights and remedies of MindGryd under these Terms are cumulative and in addition to any other rights and remedies available at law, in equity, or otherwise.
